In accordance with the provisions of the Companies Act and pursuant to Article 10 of the Articles of Association of the company, the Management Board hereby convenes the
34th General Meeting of Shareholders of
DOM-TITAN d.d., Kovinarska cesta 28, Kamnik,
which will be held on Tuesday, 16 June 2026 at 2:00 p.m. at the company headquarters, Kovinarska cesta 28, Kamnik
AGENDA:
1. Opening of the General Meeting, determination of quorum and election of the working bodies
Proposed resolution by the Management Board:
The quorum of the General Meeting shall be established.
Attorney-at-law Marjana Šnuderl shall be elected Chairwoman of the General Meeting. Two vote counters shall be elected. The General Meeting will be attended by notary public Judita Učakar Rženičnik.
2. Presentation of the Company’s Annual Report for 2025 together with the auditor’s opinion and the written report of the Supervisory Board on the verification of the Annual Report for the financial year 2025, coverage of the loss for the financial year 2025, and granting discharge to the Management Board and the Supervisory Board for 2025
The General Meeting acknowledges the audited Annual Report of the Company for the financial year 2025 and the report of the Supervisory Board on the review and approval of the Annual Report for the financial year 2025.
Proposed resolution by the Management Board and the Supervisory Board:
a. In the financial year 2025, DOM-TITAN d.d. recorded a net loss in the amount of EUR 1,695,763.13. The established net loss for the financial year 2025 in the amount of EUR 1,695,763.13 shall be covered from:
a. retained earnings in the amount of EUR 96,655.64
b. statutory reserves in the amount of EUR 128,678.19
c. capital reserves in the amount of EUR 597,871.67
d. the net loss for the financial year 2025 in the amount of EUR 872,557.63 shall remain uncovered.
The accounting entry shall be made as of 1 January 2026.

Information for Shareholders
Access to the General Meeting materials:
The materials for the Company’s General Meeting, including the agenda and proposed resolutions, the Annual Report together with the Corporate Governance Statement and the Supervisory Board Report, shall be available for inspection by shareholders at the Company’s headquarters office in Kamnik, Kovinarska cesta 28, on every business day from the date of publication of the notice convening the General Meeting until the date of the General Meeting, between 10:00 a.m. and 12:00 noon. Shareholders may obtain the General Meeting materials free of charge at the address specified in the previous sentence.
Shareholders’ requests and proposals:
Shareholders may submit proposed resolutions in writing for each agenda item. In accordance with paragraph 1 of Article 300 of the Companies Act (ZGD-1), a shareholder proposal shall be published in the same manner as this notice convening the General Meeting if the shareholder sends the Company a reasonably substantiated proposal within seven days following publication of the notice convening the General Meeting and informs the Company that they will object to the proposal of the Management Board or Supervisory Board at the General Meeting and will encourage other shareholders to vote in favour of their proposal.
The provisions of Article 300 of the Companies Act (ZGD-1) shall apply mutatis mutandis to shareholder proposals regarding the election of members of the Supervisory Board, Management Board or auditors. Election proposals need not be substantiated.
Shareholders whose combined holdings amount to one-twentieth of the share capital may, in accordance with paragraph 1 of Article 298 of the Companies Act (ZGD-1), request the inclusion of an additional agenda item within seven days following publication of the notice convening the General Meeting. Such request must be accompanied by a written proposed resolution to be decided upon by the General Meeting.
Shareholders’ right to information:
At the General Meeting, shareholders may ask questions and request information regarding Company matters if such information is necessary for the assessment of agenda items, and may exercise their right to information in accordance with paragraph 1 of Article 305 of the Companies Act (ZGD-1).
Conditions for participation in the General Meeting:
The General Meeting may be attended and voting rights exercised by shareholders who are entered as holders of shares in the central register of dematerialised securities at the end of the seventh day prior to the General Meeting, i.e. by and including 9 June 2026, and who notify the Company’s Management Board in writing of their participation in the General Meeting no later than the end of the fourth day prior to the General Meeting, i.e. by and including 12 June 2026. Shareholders and/or their authorised representatives or proxies shall identify themselves with a personal identification document and a notarised written power of attorney, while legal representatives shall additionally provide an extract from the court register not older than seven days. Powers of attorney for representation at the General Meeting must be submitted in writing and deposited at the Company’s head office no later than the end of the fourth day prior to the General Meeting.
Shareholders shall register in the designated area half an hour prior to the commencement of the General Meeting, where they shall sign the list of attending shareholders and collect their voting ballots.
